PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE ELEVI PLATFORM. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.


1. Description of Service

These Terms of Service apply to all users of ELEVI, a curated digital cinema platform operated by Studio Tre Cime, a company registered in the State of Colorado, USA. ELEVI provides online media services, curated short film content, video streaming, and community services through its website, mobile and desktop applications, and connected television applications (individually and collectively, the "Services").

These Terms govern your use of the Services, including all functionalities, features, streaming services, audio, visual, and written media, website links, and user interfaces, and all content and software associated with the Services as provided by Studio Tre Cime (the "Company").


2. Acceptance and Changes to Terms

The Company reserves the right, at its sole discretion, to modify, add, or remove any terms or conditions of these Terms of Service at any time without prior notice. Any changes shall be effective immediately upon posting. Your continued use of the Services following any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. Access and Use of Service

Users accessing the Services must be at least thirteen (13) years of age. Users registering for the Services and uploading User Generated Content must be at least eighteen (18) years of age.

ELEVI is currently available in the United States, Canada, Italy, France, Germany, the United Kingdom, and Spain. The Company makes no representation that the Services may be lawfully accessed outside of these territories. Access to the Services may not be legal in certain jurisdictions. When you access the Services, you are solely responsible for compliance with the applicable laws and regulations of your jurisdiction.


4. Your Conduct

The Services may be used only for lawful purposes relating to streaming and related activities. The Company specifically prohibits any use of the Services for any purpose other than those designated by the Company.

You are prohibited from violating or attempting to violate the security of the Services, including without limitation: (a) accessing data not intended for such user or logging into a server or account which you are not authorised to access; (b) attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorisation; (c) attempting to interfere with service to any user, host, or network, including via means of submitting a virus, overloading, flooding, spamming, mailbombing, or crashing; (d) forging any TCP/IP packet header or any part of header information in any email or newsgroup posting; (e) scraping or harvesting data; or (f) the use of robots or automated means to skew payouts or engagement metrics.

Violations of system or network security or inappropriate conduct may result in civil or criminal liability. The Company will investigate occurrences that may involve such violations and may cooperate with law enforcement in prosecuting users involved in such violations.

You are solely responsible for your conduct in any community forum or event hosted by ELEVI. All users are expected to treat others with respect. Bullying of any kind is not permitted. Degrading comments based on race, religion, culture, sexual orientation, gender, or identity will not be tolerated. Self-promotion, spam, and irrelevant third-party links are not permitted. Accounts found to be in violation of these standards may be suspended or permanently removed.


5. User Information

You are solely responsible for the information you input or upload to the Services, and warrant that you have the right and authorisation to register for the Services and post User Generated Content. The Company reserves the right to determine whether information you input or upload is appropriate and complies with these Terms, Company policies, and applicable laws.

If you register for the Services, you will be asked to provide certain information including a valid email address. You warrant that all such information is current, accurate, and will be maintained up to date.

6. Username, Password, and Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activity that occurs under your account whether or not authorised by you. You agree to notify the Company immediately of any unauthorised use of your account credentials. If you wish another person to use your device, you must log out of your account before doing so.


7. Use of Services

The Services are offered for video streaming and related activities only. The Company grants you a limited, non-exclusive, non-transferable licence to access and use the Services for your own personal and non-commercial purposes. This includes the right to view content on the Company's website and applications.

If you elect to access any component of the Services for which a fee is charged, you agree to pay all fees and charges associated with your account on a timely basis. All fees and applicable taxes will be charged to your designated payment method.


8. Subscriptions, Purchases, and Access

ELEVI offers access to its curated short film programme on an annual subscription basis, a monthly subscription basis, and on a pay-per-view (TVOD) basis. The applicable pricing and terms for each access type are indicated on the relevant product page.

Annual subscriptions are currently offered at USD $39.99 per year. Monthly subscriptions are currently offered at USD $5.99 per month. Pay-per-view rental prices vary by title. Pricing is subject to change at the sole discretion of the Company with reasonable notice provided to existing subscribers.

New subscribers are entitled to a seven (7) day free trial on their first annual or monthly subscription. No charge will be made during the trial period. Following the trial period, your subscription will convert automatically to a paid membership unless cancelled before the trial end date.

The Company makes no guarantees as to streaming resolution or quality, which may be affected by connection speed, location, device, and bandwidth.


9. Payments and Billing

By purchasing a subscription or pay-per-view access, you expressly authorise the Company to charge your designated payment method on the schedule applicable to your selected plan. You may update your payment information at any time from your account settings.

Receipts are sent to your registered email address upon each successful charge. Your subscription will continue unless and until you cancel it or the Company terminates it. You must cancel your subscription prior to the next scheduled charge to avoid billing for the subsequent period.


10. Filmmaker Submissions and Competition

ELEVI accepts short film submissions through an open submission process and through active editorial scouting. Submissions are currently free of charge during the first programme season. The Company reserves the right to introduce submission fees in future seasons with advance notice.

The Company conducts open international film competitions twice per year through FilmFreeway. Competition winners are eligible for inclusion in the ELEVI programme. 

Submission of a film to ELEVI does not guarantee selection or inclusion in the programme. The editorial team's decisions are final. Films selected for the programme are subject to a separate filmmaker agreement which governs exclusivity, revenue share, and programme duration terms specific to each title.


11. User Comments and Suggestions

The Company values user feedback. Users are asked not to submit unsolicited creative ideas, inventions, or suggestions. Any such submissions received will become the sole property of the Company. The Company shall own all rights to such submissions and shall be entitled to unrestricted use for any purpose, without compensation to the submitting user or any third party. No such submissions shall be subject to any obligation of confidence.


12. Intellectual Property

ELEVI, Studio Tre Cime, and all associated trademarks and trade names are the exclusive property of the Company. Unauthorised use of such marks is prohibited.

The Services and all associated content, including without limitation programmes, interface layouts, interface text, documentation, resources, and graphics, are the sole property of the Company and are protected by copyright, trademark, and other intellectual property laws of the United States and applicable international treaties.

Content made available through the Services is owned and controlled by the respective content providers. You may not sell, modify, reproduce, display, distribute, or otherwise use the Services or their content for any purpose without prior written authorisation from the Company.


13. Social Networking

Users may have the option to share links and content through third-party social networking services. Users undertake such activity at their sole responsibility and must comply with the applicable terms and conditions of those third-party services.


14. Software Licence

Where the Services require or include downloadable software, the Company grants you a personal, limited, non-exclusive, and non-transferable licence to use the software solely for the purpose of accessing and using the Services. You may not modify, reverse engineer, decompile, disassemble, translate, or create derivative works from the software. You may not copy, distribute, sublicense, or transfer the software or this licence to any third party.

The Company may automatically update the software at its sole discretion with reasonable notice. Continued use following an update constitutes acceptance of the updated software.


15. Copyright Infringement Notification

If you believe that copyrighted material is accessible through the Services in a manner that constitutes copyright infringement, please notify the Company's designated copyright agent with the following information: (a) a physical or electronic signature of the copyright owner or authorised representative; (b) a description of the copyrighted work claimed to have been infringed; (c) the URL or specific location within the Services where the allegedly infringing material is located; (d) your name, address, telephone number, and email address; and (e) a statement, made under penalty of perjury, that the information provided is accurate and that you are authorised to act on behalf of the copyright owner.

Counter-notices may be submitted in accordance with the Digital Millennium Copyright Act (DMCA). False or materially misleading notices or counter-notices may result in liability under US copyright law.


16. GDPR and Data Protection — European Users

For users located in the European Union, the United Kingdom, or other jurisdictions subject to the General Data Protection Regulation (GDPR) or equivalent data protection legislation, the following additional provisions apply.

The Company acts as a data controller with respect to personal data collected through the Services. Personal data is collected and processed on the legal bases of contractual necessity, legitimate interest, and, where required, explicit consent. You have the right to access, rectify, erase, restrict processing of, and port your personal data, as well as the right to object to processing and to withdraw consent at any time where consent is the basis for processing.

Personal data may be transferred to the United States where it will be processed in accordance with applicable data protection standards. Such transfers are conducted under appropriate safeguards including Standard Contractual Clauses as approved by the European Commission.

17. Warranty Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE COMPANY IS NOT RESPONSIBLE FOR THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ACCESSED THROUGH THE SERVICES.


18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. THE COMPANY'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, death, or personal injury caused by negligence.


19. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its subsidiaries, affiliates, officers, directors, employees, agents, and partners from and against any loss, liability, claim, action, or demand, including reasonable legal and accounting fees, arising from: (i) your use of the Services; (ii) any User Generated Content or communications submitted by you; or (iii) your breach of these Terms.


20. Communications

By using the Services you consent to receive electronic communications from the Company. These communications will include emails about your account, password, access, transactional confirmations, programme updates, and other information related to the Services. You may opt out of non-essential communications at any time using the unsubscribe mechanism included in each email.


21. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of laws provisions. You irrevocably consent to the exclusive jurisdiction of the courts located in the State of Colorado in connection with any action arising out of or related to these Terms.

For users located in the European Union or United Kingdom, nothing in this clause affects your rights to bring claims before the courts of your country of residence or to benefit from mandatory consumer protection provisions applicable in your jurisdiction.


22. General Provisions

These Terms constitute the entire agreement between you and the Company with respect to the Services and supersede all prior agreements and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The Company's failure to enforce any right or provision shall not constitute a waiver of that right or provision. You may not assign these Terms or any of your rights or obligations hereunder without the prior written consent of the Company.
